TITLE The Union shall be called "The Western District Cricket Union" (hereinafter referred to as "the Union"). 2. OBJECTS The objects of the Union will be to promote the furtherance and improvement of the game of cricket within the West District of Scotland (hereinafter referred to as "the West District") being the geographical area defined by the Scottish Cricket Union (hereinafter referred to as "the SCU") and, in pursuance of that objective:- To institute and run a league championship or championships in the West District from which to nominate teams to compete in the Scottish National Cricket League (hereinafter referred to as "the SNCL"); To institute and run such other cricket competition or competitions in the West District as the Executive Committee may from time to time determine; To organise and run all forms of junior cricket and junior competitions in the West District as the Executive Committee may from time to time determine; To organise representative cricket teams and their match arrangements at all age levels in the West District; To provide cricket coaching facilities and to organise coaching and the education of coaches in the West District; To provide training facilities for and to assist with the organisation of cricket administrators and officials in the West District; To own, lease, hire, rent, acquire, purchase, sell and dispose of such property of all and every type (excluding heritable property) as the Executive Committee shall from time to time determine; To affiliate other cricket organisations and to liaise with and affiliate to all other organisations having an interest in the promotion of the game of cricket; To provide such assistance to the SCU and Scottish Cricket Limited (hereinafter referred to as SCL) as may from time to time be appropriate; To raise finance for the foregoing purposes in any manner or way including the charging of Membership subscriptions, levies, obtaining funds by sponsorship whether from Members or outside organisations or persons, obtaining grant aid, and, subject as aftermentioned, borrowing such funds as the Executive Committee may from time to time determine; and To ensure the pursuance of all the foregoing objectives under the auspices of the SCU or SCL. 3. MEMBERSHIP 3.1 Classes of Membership Membership of the Union shall be divided into two classes as follows:- (a) Full Membership; and (b) Affiliate Membership. 3.2 Eligibility for Membership 3.2.1 Any cricket club being a member of the SCU and being a Saturday club (as hereinafter defined) and playing its home fixtures in the West District shall be eligible for Full Membership of the Union. 3.2.2 Any cricket league or cricket organisation or other cricket body conducting its business under the auspices of the SCU or SCL and operating within the West District and any cricket club being a non-Saturday club (as hereinafter defined) shall be eligible for Affiliate Membership of the Union. 3.2.3 A Saturday club shall mean a cricket club which has at least one senior team that competes in a cricket competition or competitions whose fixtures are played predominantly on Saturdays. 3.2.4 A non-Saturday club shall mean a cricket club which plays its home fixtures in the West District but which has no senior teams that compete in any cricket competitions whose fixtures are played predominantly on Saturdays. 3.3. Admission to Membership Any eligible club or organisation wishing to become a Member of the Union must first apply in writing to the Honorary Secretary of the Union at least thirty days prior to the date of the Annual General Meeting and any such application must be accompanied by written evidence of the support of two existing Members of the Union. Any valid application for Membership of the Union will be considered at the Annual General Meeting. Admission to Membership of the Union shall be by the votes of the Members and a majority of at least two thirds of the votes cast by the Members present and voting shall be required. No application for Membership of the Union may be refused on other than reasonable grounds, nor will there be any discrimination on grounds of race, occupation, sex, or religious, political or other opinion. 3.4 Resignation Any Member wishing to withdraw from Membership of the Union must intimate the same in writing to the Honorary Secretary of the Union not later than thirty days prior to the date of the Annual General Meeting, failing which such Member shall remain liable for payment of the appropriate Annual Subscription for the following year. Any Member withdrawing shall be held to have forfeited all rights to participate in the assets of the Union but shall be held responsible for its proportion of the liabilities of the Union as at the date of such withdrawal, unless otherwise determined by the Union in General Meeting. 3.5 Expulsion A Member shall not be expelled from the Union except at the Annual General Meeting or at a Special General Meeting called for the purpose and then only by the votes of the Members, a majority of at least two thirds of the votes cast by the Members present and voting being required. Any Member being so expelled shall be held to have forfeited all rights to participate in the assets of the Union but shall be held responsible for its proportion of the liabilities of the Union as at the date of such expulsion, unless otherwise determined by the Union in General Meeting. 3.6 Voting Rights Except as hereinafter prescribed, Members of the Union shall have the following voting rights at General Meetings of the Union:- (a) A Full Member who has established to the satisfaction of the Executive Committee that it (i) complies with the Union's requirements laid down from time to time in relation to the level and standard of facilities available to its members and the general public and the development of cricket at senior and junior age levels and (ii) provides the necessary level and standard of facilities to be eligible to compete in the SNCL shall be entitled to two votes; (b) All other Full Members shall be entitled to one vote; and (c) An Affiliate Member shall be entitled to one vote. 4. FINANCE 4.1 Subscriptions There shall be three classes of Members for subscription purposes. Class 1 shall be those Members entitled to two votes at General Meetings of the Union. Class 2 shall be Full Members entitled to one vote at General Meetings of the Union. Class 3 shall be Affiliate Members. The amount of the subscription for each Class of Membership shall be fixed annually by the Executive Committee and approved by the Members at the Annual General Meeting. Subscriptions shall be payable in advance on or before the First day of January in each financial year. The first year's subscription of new Members shall be payable on admission and, until it be paid, new Members shall not be entitled to any of the benefits of Membership. Should the subscription of any Member remain in arrears for more than three months, the defaulting Member shall, if it remains unpaid after intimation from the Honorary Treasurer, be suspended from Membership of the Union and shall not be entitled to any of the privileges of Membership of the Union. Full Members of the Union and non-Saturday clubs shall be entitled to compete in league and cup competitions run by the Union but only subject to the provisions of Clause 8 of this Constitution and no Member shall be entitled to compete in any such competition unless and until it has paid the annual subscription. 4.2 Deficiency of Funds Should there be at any time a deficiency of funds, the Members during any financial year in which such deficiency occurs shall be liable to such addition in the annual subscription as the Executive Committee may determine, provided always that such addition shall not exceed the amount then fixed as the annual subscription for that financial year. 4.3 Borrowing The aftermentioned power of the Executive Committee to borrow monies or funds for the purposes of the Union and to authorise the granting of deeds or documents in relation to such borrowing shall be restricted to a maximum level of aggregate borrowings outstanding from time to time of Five thousand pounds Sterling unless with the consent of the Members in General Meeting. 4.4 Accounts The financial year shall end on the 30th September in each year. The Honorary Treasurer's accounts and balance sheet shall be audited annually by an auditor appointed at the preceding Annual General Meeting and a copy of the annual balance sheet shall be sent to each Member of the Union with the notice calling the Annual General Meeting. 5. OFFICE BEARERS The Office Bearers of the Union, who shall be elected at the Annual General Meeting of the Union, shall consist of a Chairman of Committee (hereinafter referred to as "the Chairman"), a Vice Chairman of Committee (hereinafter referred to as "the Vice Chairman"), an Honorary Secretary and an Honorary Treasurer. Office Bearers shall be elected for a period of two years and, except as specified in this Clause 5, shall be eligible for re-election thereafter. Each of the Chairman and the Vice Chairman shall retire from office at the end of said two year period but shall both be eligible for immediate re-election to the same office for a further period of two years. On expiry of the second period of two years, the Chairman and the Vice Chairman shall each retire and shall not be eligible for immediate re-election to the same office. 6. EXECUTIVE COMMITTEE 6.1 Composition of the Executive Committee The Executive Committee shall consist of the Office Bearers aforesaid, the Secretary of the League Committee, the Convener of the Competitions Committee, the Chairman of The Western District Junior Cricket Union Committee, the Convener of the District Selection Committee, a maximum of two Directors of SCL elected under Clause 10 of this Constitution (hereinafter referred to as "SCL Representatives"), and a maximum of two members of the Committee of the SNCL elected under Clause 11 of this Constitution (hereinafter referred to as "SNCL Representatives"). 6.2 Election of Executive Committee Members Conveners, SCL Representatives, SNCL Representatives and the Secretary of the League Committee will be elected at the Annual General Meeting of the Union and the Chairman of The Western District Junior Cricket Union Committee will be elected at the Annual General Meeting of The Western District Junior Cricket Union, all as prescribed in this Constitution. 6.3 Meetings Meetings of the Executive Committee shall be held at least six times per year and shall be convened on the authority of the Chairman or the Vice Chairman. Meetings of the Executive Committee will be chaired by the Chairman, whom failing by the Vice Chairman. The quorum for meetings of the Executive Committee shall be five. Each elected and co-opted member of the Executive Committee shall have one vote, except the chairman of the meeting who shall have a deliberative and a casting vote. A member of the Executive Committee, whether elected or co-opted, shall be entitled to appoint a proxy to attend and vote at any meeting of the Executive Committee in his absence. Decisions shall be by a simple majority of votes cast. 7. EXECUTIVE COMMITTEE POWERS The whole affairs and objects of the Union shall be in the hands of the Executive Committee who shall have power to make such regulations from time to time as they in their sole discretion may think desirable for the achievement of the objectives of the Union and for the welfare and proper conduct of the game of cricket in the West District and in particular they shall have power to fill up vacancies in their number that may occur during the financial year, to attend all General Meetings of the Union, to appoint such officers or employees as may be deemed necessary from time to time, to define the duties of said officers and/or employees and to fix such remuneration as may be appropriate, to settle disputes in and between Members and to make all necessary enquiries and take such proceedings against any Member or Members as may be appropriate, to discipline, suspend, fine, or otherwise deal with any Member infringing the Constitution of the Union, disobeying the decisions of the Executive Committee or breaking the rules or regulations of the Executive Committee or any sub-committee or The Western District Junior Cricket Union Committee, to discipline, suspend or otherwise deal with any individual who is a member of a Member, and who infringes the WDCU/Cricket Scotland Code of Conduct, and generally to deal with any Member or any such individual whose conduct the Executive Committee shall deem detrimental to the best interests of the game of cricket subject always to right of appeal as aftermentioned, to appoint in an Honorary capacity a duly qualified independent medical practitioner and a duly qualified independent solicitor to advise the Executive Committee and its sub-committees and The Western District Junior Cricket Union Committee where appropriate, to control and apply the finances of the Union, to appoint sub-committees as appropriate, to allocate to said sub-committees and to The Western District Junior Cricket Union such funds from its capital and income as it may from time to time determine and to delegate to said sub-committees such functions and powers as it may from time to time determine and without prejudice to the foregoing generality to appoint those sub-committees and delegate to said sub-committees those functions and powers specified in Clause 8 of this Constitution, to delegate to the said The Western District Junior Cricket Union the functions and powers specified in Clause 9 of this Constitution, to apply for and obtain grant aid and commercial sponsorship, subject to Clause 4.3 of this Constitution to borrow any monies or funds required for the purposes of the Union on such terms and conditions as the Executive Committee may determine, to authorise any two or more of the office bearers of the Executive Committee to grant on behalf of the Union all deeds and documents that may be necessary in respect of such borrowings and all deeds and documents that may be necessary in relation to any business of the Union, and to appoint Trustees. 8. SUB-COMMITTEES 8.1 The following sub-committees shall be established for the purposes detailed in this Clause 8:- 8.1.1 League Committee The League Committee shall institute and run a league championship or championships in which only Full Members may compete and the League Committee shall nominate teams from said league championship or championships to compete in the SNCL. The League Committee shall be responsible for promulgating the rules and playing conditions of said league championship or championships. The League Committee shall consist of a convener who shall be the Vice Chairman, a League Secretary, the Competitions Committee Convener and up to a maximum of four other members. The League Secretary and said other members will be elected at the Annual General Meeting of the Union by the Full Members of the Union and that for a term of two years. Anyone so elected will be eligible for re-election thereafter. 8.1.2 The Competitions Committee The Competitions Committee shall institute and run such league championship, league cup, and cup cricket competitions as the Executive Committee may from time to time determine including without prejudice to the foregoing generality a league championship in which Full Members and non-Saturday clubs may compete, the West League Cup, the Rowan Cup, the Glasgow and District Knock Out Cup, and the Western Cup. The Competitions Committee shall be responsible for promulgating the rules and playing conditions of the said competitions. The Competitions Committee shall consist of a convener and up to a maximum of seven other members all of whom will be elected at the Annual General Meeting of the Union by the Members of the Union and that for a term of two years. Anyone so elected will be eligible for re-election thereafter. 8.1.3 The District Selection Committee The District Selection Committee shall be responsible for the organisation and selection of cricket teams to represent the West District at all senior age levels (being teams not coming within the definition contained in Clause 9.4.3 of this Constitution) and to make all necessary match and fixture arrangements. The District Selection Committee shall consist of a convener and up to a maximum of four other members all of whom will be elected at the Annual General Meeting of the Union by the Members of the Union and that for a term of two years. Anyone so elected will be eligible for re-election thereafter. The Junior Chairman (as hereinafter defined) (or in his absence any one other member of The Western District Junior Cricket Union Committee) shall be entitled to attend any District Selection Committee meeting but shall not have a vote unless as a member of the District Selection Committee. 8.1.4 The Sponsorship Committee The Sponsorship Committee shall be responsible for seeking and obtaining funds from Members and outside organisations and persons for the benefit of the game of cricket within the West District and for the purposes of the Union. The Sponsorship Committee shall consist of a convener who shall be the Chairman and up to a maximum of two other members. Said other members will be elected at the Annual General Meeting of the Union by the Members of the Union and that for a term of two years. Anyone so elected will be eligible for re-election thereafter. 8.1.5 The Disciplinary & Appeals Committee The Disciplinary & Appeals Committee shall hear all cases of alleged breaches of the WDCU/Cricket Scotland Code of Conduct and also determine appeals from decisions of any other sub-committee of the Union. Decisions of the Disciplinary & Appeals Committee shall be final, subject to the over riding right of any Member party to the hearing to appeal to Cricket ScotlandSCL. The Disciplinary & Appeals Committee shall consist of a convener who shall be the Chairman, and two other members who shall be the Honorary Secretary and the Honorary Treasurer and up to a maximum of three alternative members nominatedappointed by the Executive Committee. Said alternative members, who may only attend and vote at Appeals Committee hearings in the circumstances specified in this Clause 8.1.5., will be elected at the Annual General Meeting of the Union by the Members of the Union and that for a term of two years. No member or alternative member of the Disciplinary & Appeals Committee shall be entitled to attend or vote at an Disciplinary & Appeals Committee hearing in circumstances where the appeal is from the decision of any sub-committee of which he was a member when the decision was reached or where any other conflicting interest occurs. Should any member of the Disciplinary & Appeals Committee be unable to attend, or be disqualified by this Clause 8.1.5 from attending, any Disciplinary & Appeals Committee hearing, the Executive Committee may appoint one of the alternative members of the Disciplinary & Appeals Committee to attend and vote at said hearing in his place. For the purposes of this Clause 8.1.5 the expression "sub-committee" shall include The Western District Junior Cricket Union Committee. 8.2 Rules Governing Sub-Committees Meetings of sub-committees shall be convened on the authority of the appropriate convener or on the authority of the Chairman or the Vice Chairman. Meetings of sub committees shall be chaired by the appropriate convener whom failing by an elected member of the appropriate sub-committee appointed on a simple majority vote of elected and co-opted members present and voting. The quorum for all sub-committees shall be two, except the Disciplinary & Appeals Committee where it shall be three. Each elected and co-opted member of a sub-committee shall have a vote, the convener having both a deliberative and a casting vote. Decisions shall be taken by a simple majority of votes cast. Sub-committees may co-opt voting members subject to the approval of the Executive Committee. The Chairman and Vice Chairman may attend any sub-committee meeting other than the Executive Committee (but without a vote unless as a member of the sub-committee). Sub-committees shall have the power to execute the functions delegated to them in this Constitution unless otherwise directed by the Executive Committee and shall have the authority to apply for and obtain grant aid and commercial sponsorship for their delegated functions and to incur expenditure directly relating to such functions up to a maximum approved by the Executive Committee on an annual basis. Any sub-committee may establish a further sub-committee to advise it on any of its functions. Subject to the foregoing, the Executive Committee shall be responsible for prescribing written rules under which sub-committees will function. 9. THE WESTERN DISTRICT JUNIOR CRICKET UNION 9.1 The affairs and objects of the Union so far as they relate to junior cricket (as hereinafter defined) and its development in the West District shall be delegated to The Western District Junior Cricket Union (hereinafter referred to as "the Junior Union") who shall operate in accordance with the provisions detailed in this Clause 9:- 9.2. JUNIOR UNION COMMITTEE The management of the Junior Union shall be effected by the Junior Union Committee which shall consist of a chairman (hereinafter referred to as "the Junior Chairman"), a vice chairman (hereinafter referred to as "the Junior Vice Chairman"), a secretary (hereinafter referred to as "the Junior Secretary"), a treasurer (hereinafter referred to as "the Junior Treasurer") (the latter two of whom may be the same person and is hereinafter referred to as "the Junior Secretary/Treasurer"), and up to a maximum of six other members all of whom will be elected at the Annual General Meeting of the Junior Union by the Full Members and that for the term of two years. Anyone so elected will be eligible for re-election thereafter. Meetings of the Junior Union Committee shall be convened on the authority of the Junior Chairman or the Junior Vice Chairman and said meetings will be chaired by the Junior Chairman whom failing by the Junior Vice Chairman. The quorum for meetings of the Junior Union Committee shall be two. Each elected and co-opted member of the Junior Union Committee shall have one vote, except the chairman of the meeting who shall have a deliberative and a casting vote. Decisions shall be by a simple majority of votes cast. The Junior Union Committee may co-opt voting members subject to the approval of the Junior Chairman. The Chairman and Vice Chairman may attend any meeting of the Junior Union Committee (but without a vote unless as a member of the Junior Union Committee). 9.3 JUNIOR UNION FINANCE The Junior Union shall operate its own bank account or accounts bearing the name "The Western District Junior Cricket Union" withdrawals from said account or accounts being on the written authority of any two or more of the Junior Chairman, the Junior Vice Chairman, the Junior Secretary, the Junior Treasurer or the Junior Secretary/Treasurer. The Junior Union shall hold and administer funds allocated to it by the Executive Committee, and shall have power to apply for and obtain grant aid and commercial sponsorship and to incur expenditure directly relating to its functions provided always that at no time shall its bank account or accounts be overdrawn. The Junior Treasurer or Junior Secretary/Treasurer shall prepare for the approval of the Junior Union Committee and the Executive Committee annual accounts of the Junior Union's financial intromissions, said accounts to cover the same period as the financial year of the Union. 9.4 JUNIOR UNION FUNCTIONS The function of the Junior Union will be to carry out the objects of the Union insofar as they relate to junior cricket (being cricket for all persons under the age of 19 years) and its development. Without prejudice to the foregoing generality, the Junior Union shall have the following responsibilities:- 9.4.1 The Junior Union Committee shall institute and run such junior league championship and junior cup competitions as the Junior Union may from time to time determine. The Junior Union Committee shall be responsible for promulgating the rules, eligibility, and playing conditions of said competitions. 9.4.2 The Junior Union Committee shall organise coaching and coaching facilities and the education of coaches for the benefit and development of junior cricket and shall organise such courses, seminars, conferences and others as it may deem appropriate. 9.4.3 The Junior Union Committee shall be responsible for the organisation and selection of cricket teams to represent the West District at all age groups and levels up to and including "under 19" and to make all necessary match and fixture arrangements. The Convener of the District Selection Committee (or in his absence any one other member of said Committee) shall be entitled to attend any Junior Union Committee meeting convened for the purposes of this Clause 9.4.3 but shall not have a vote unless as a member of the Junior Union Committee. 9.5 JUNIOR UNION GENERAL MEETINGS 9.5.1 Annual General Meeting The Annual General Meeting of the Junior Union shall be held at a venue to be decided by the Junior Union Committee no earlier than the third Friday in October and no later than the second Friday in December in each year. The purpose of the Annual General Meeting shall be to approve the Junior Union financial accounts and receive reports of the activities of the Junior Union during the year, to discuss proposals for junior league championship and cup competitions and other activities for the following cricket season, to appoint committee members and to consider any motion of which due notice has been given. 9.5.2 Extraordinary General Meetings An Extraordinary General Meeting of the Junior Union may be convened at the request of the Junior Union Committee and the purpose of any such Extraordinary General Meeting shall be to deal with all motions and proposals for which due notice has been given. 9.5.3 Notice of General Meetings The Junior Secretary or Junior Secretary/Treasurer shall be obliged to give every Full Member of the Union at least fourteen days' written notice of the date of any General Meeting of the Junior Union. 9.5.4 Election of Committee Members Every nomination for the election of a Junior Union Committee member shall require to be proposed and seconded by Full Members of the Union at the Annual General Meeting of the Junior Union at which the appropriate election is to take place. 9.5.5 Representation and Voting at General Meetings Each Full Member of the Union paying a Class 1 subscription shall be entitled to send two representatives (one of whom should be the duly appointed junior convener of the said Full Member or, in his absence, a member of said Full Member nominated by said junior convener) to attend General Meetings. Every other Full Member of the Union shall be entitled to send one representative (who should be the duly appointed junior convener of the said Full Member or, in his absence, a member of said Full Member nominated by said junior convener) to attend General Meetings of the Junior Union. The Chairman, the Vice Chairman, the Junior Chairman, the Junior Vice Chairman, the Junior Secretary, the Junior Treasurer, and the other members of the Junior Union Committee shall also be entitled to attend at General Meetings but shall not be entitled to vote unless attending as a representative of a Full Member as aforesaid. All matters considered at General Meetings shall be decided by a simple majority of votes cast by those present and voting. All General Meetings of the Junior Union shall be chaired by the Junior Chairman whom failing the Junior Vice Chairman and notwithstanding the terms of this Clause of the Constitution, the chairman of the General Meeting of the Junior Union shall have a casting vote in the event of equality. A quorum shall exist at any General Meeting of the Junior Union which is attended by representatives of at least ten of the Full Members of the Union. No proxies shall be allowed at any General Meeting of the Junior Union. No person shall represent more than one Member nor have more than one vote. 10. ELECTION OF SCL REPRESENTATIVES A maximum of two SCL Representatives shall be proposed by the Executive Committee and elected at the Annual General Meeting of the Union by the Full Members of the Union to serve on the Executive Committee and that for a term of one year. Anyone so elected shall be eligible for re-election thereafter provided that he shall still be a Director of SCL. 11. ELECTION OF SNCL REPRESENTATIVES A maximum of two SNCL Representatives shall be proposed by the Executive Committee and elected at the Annual General Meeting of the Union by those Full Member clubs of the Union who will be competing in the SNCL in the succeeding year to serve on the Executive Committee and that for a period of one year. Anyone so elected must be a member of a Full Member club eligible to vote hereunder and shall be eligible for re-election provided always that he shall still be a member of the Committee of the SNCL and that his club shall continue to compete in the SNCL. 12. DISCIPLINARY MATTERS AND DISPUTES 12.1 Disputes In the event of any dispute arising between or among Members of the Union the matter shall be referred in the first instance to a decision of the appropriate sub-committee which has direct authority under this Constitution for the subject matter giving rise to the dispute. If the subject matter of the dispute does not fall within or under the direct authority of a particular sub-committee, the matter shall be referred in the first instance to a decision of the Executive Committee. For the purposes of this Clause 12 the expression "sub-committee" shall include the Junior Union Committee. 12.2 Disciplinary Matters All Members of the Union are expected to maintain a high standard of behaviour and to adhere to the rules of the sub-committees created by this Constitution as well as all matters governed by Clause 15 of this Constitution. Any alleged breach of discipline arising hereunder the WDCU/Cricket Scotland Code of Conduct or otherwise shall be referred in the first instance to the Disciplinary & Appeals Committeea decision of the sub-committee which has direct authority under this Constitution for the subject matter giving rise to the alleged breach of discipline. For avoidance of doubt, alleged breaches of league or other competition rules shall be referred in the first instance to the League Committee or Competitions Committee as appropriate. If the alleged breach of discipline does not fall clearly within or under the direct authority of a particular sub-committee or relates to matters governed by Clause 15 of this Constitution, the matter shall be referred in the first instance to a decision of the Executive Committee. 12.3 Drug Abuse Doping is strictly forbidden. The Union is subject to the rules governing doping and drug abuse laid down by SCL from time to time. Any alleged breach of these rules committed by a cricketer who is a member of a Member of the Union shall be treated as though it were an alleged breach of the disciplinary rules of the Union committed by said Member of the Union and shall, in terms of Clause 12.2 of this Constitution, be referred in the first instance to a decision of the appropriate sub-committee which has direct authority under this Constitution for the subject matter giving rise to the alleged breach of discipline, or if the alleged breach of discipline does not fall within or under the direct authority of a particular sub-committee the matter shall be referred in the first instance to a decision of the Executive Committee. 12.4 Appeals Members shall have the right to appeal any decision of any sub-committee under this Clause 12 to the Appeals Committee, and shall have an over riding right to appeal any decision of the Executive Committee under this Clause 12 to SCL. 13. GENERAL MEETINGS 13.1 Annual General Meeting The Annual General Meeting of the Union shall be held at a venue to be decided by the Executive Committee no earlier than the third Friday in October and no later than the last Friday in December in each year. The purpose of the Annual General Meeting shall be to approve the financial accounts and receive reports of the activities of the Union and its Committees during the year, to appoint Office Bearers and committee members, to deal with alterations to this Constitution if duly notified and to consider any motion of which due notice has been given. Due notice requires details of any motion or proposal from a Member of the Union to be in the hands of the Honorary Secretary no later than 21 days prior to the date of the meeting to enable details to be distributed to Members with the meeting papers. Any such motion or proposal not meeting such due notice, including proposals made at the meeting, shall not be considered competent and cannot be voted upon. 13.2 Extraordinary General Meetings At least two Extraordinary General Meetings of the Union shall be held in any calendar year. The first Extraordinary General Meeting shall be held at a venue to be decided by the Executive Committee no earlier than the second Friday in March and no later than the last Friday in April. The second Extraordinary General Meeting shall be held at a venue to be decided by the Executive Committee no earlier than the first Friday in September and no later than the last Friday in October. The purpose of the Extraordinary General Meetings shall be to deal with all motions and proposals of which due notice has been given. Due notice requires details of any motion or proposal from a Member of the Union to be in the hands of the Honorary Secretary no later than 21 days prior to the date of the meeting to enable details to be distributed to Members with the meeting papers. Any such motion or proposal not meeting such due notice, including proposals made at the meeting, shall not be considered competent and cannot be voted upon. 13.3 Special General Meetings 13.3.1 A Special General Meeting may be convened at the request of the Executive Committee or on a written requisition from at least two Members of the Union. Any such requisition must state the purpose for which the meeting is to be called and the Special General Meeting must be held within six weeks of receipt by the Honorary Secretary of either a written requisition as aforesaid or intimation of a request of the Executive Committee. The Honorary Secretary will be obliged to give every Member of the Union at least twenty one days' written notice of a Special General Meeting and said written notice will specify the purpose for which the meeting is being called, and will state whether the request has been made by the Executive Committee or will specify the names of the requisitioning Members. No other business shall be transacted at said Special General Meeting. 13.3.2 All Special General Meetings shall be held at a venue to be decided by the Executive Committee. 13.4 Notice of General Meetings The Honorary Secretary shall be obliged to give every Member of the Union at least fourteen days' written notice of the date of any General Meeting, other than a Special General Meeting. 13.5 Election of Office Bearers and Committee Members Every nomination for the election of an Office Bearer and/or an Executive Committee member and/or a sub-committee member shall be submitted in writing either by the Executive Committee or by a proposing and a seconding Member of the Union to the Honorary Secretary at least thirty calendar days prior to the date of the Annual General Meeting at which the appropriate election is to take place. Intimation of valid nominations shall be given by the Honorary Secretary to all Members of the Union at least fourteen days prior to the Annual General Meeting. Nominations for SCL Representatives and for SNCL Representatives will be submitted by the Executive Committee and the Honorary Secretary will intimate said nominations to every Member of the Union at least fourteen days prior to the date of the Annual General Meeting. 13.6 Representation and Voting at General Meetings Each Full Member of the Union paying a Class 1 subscription shall be entitled to send two representatives to attend General Meetings. Every other Full Member of the Union and every Affiliate Member shall be entitled to send one representative to attend General Meetings. The Office Bearers and other members of the Executive Committee shall also be entitled to attend at General Meetings but shall not be entitled to vote unless attending as a representative of a Member as aforesaid. Unless otherwise specified in this Constitution, all matters considered at General Meetings shall be decided by a simple majority of votes cast by those present and voting. All General Meetings shall be chaired by the Chairman, whom failing the Vice Chairman, and notwithstanding the terms of this Clause of the Constitution, the chairman of the General Meeting shall have a casting vote in the event of equality. A quorum shall exist at any General Meeting which is attended by representatives of at least fifteen of the Members of the Union. No proxies shall be allowed at any General Meeting. No person shall represent more than one Member nor have more than one vote. 14. ALTERATIONS TO THE CONSTITUTION AND DISSOLUTION OF THE UNION No alteration can be made to this Constitution nor can the Union be dissolved except at the Annual General Meeting or at a Special General Meeting convened for the purpose. Any proposal to alter this Constitution or dissolve the Union must be made in writing either by the Executive Committee or by at least two Members of the Union. If the proposal to alter this Constitution or dissolve the Union is to be considered at the Annual General Meeting, written notice of said proposal must be submitted to the Honorary Secretary at least thirty days prior to the date of the Annual General Meeting. The Honorary Secretary will be obliged to give every Member of the Union at least fourteen days' written notice of the proposal which notice will specify the nature of the proposal and will state whether the proposal has been made by the Executive Committee or shall specify the names of the proposing Members. If the proposal is to be considered at a meeting other than the Annual General Meeting, the Honorary Secretary must on receipt of a written proposal from at least two Members of the Union or from the Executive Committee, give at least twenty one days' written notice to every Member of the Union of the date of a Special General Meeting to consider the proposal and said notice will specify the nature of the proposal and will state whether the proposal has been made by the Executive Committee or will specify the names of the proposing Members. The Honorary Secretary shall be obliged to convene said Special General Meeting to be held no later than six weeks after he shall have received the written proposal from at least two Members of the Union or from the Executive Committee. No alteration shall be made to this Constitution nor shall the Union be dissolved unless approved by at least a two thirds majority of the votes cast by the Members present and voting at the General Meeting. 15. CONSTITUTION TO BE BINDING ON MEMBERS All Members of the Union shall be bound by the terms of this Constitution of the Union and all rules prescribed thereunder by the Executive Committee. 16. DISSOLUTION In the event of the dissolution of the Union all available assets after the discharge of all liabilities and debts shall be transferred to any other organisation or organisations having as its or their main object the promotion and furtherance of the game of cricket in such manner and subject to such conditions as the Executive Committee shall, in its sole discretion, consider to be fair and reasonable.
