The clubs aim will be to support, develop and promote cricket and other sports in the Morley and surrounding areas. Its objectives will include: To offer coaching and competitive opportunities in cricket and other sports To promote the club within the local community To manage the club s finances and operation To ensure a duty of care to all members, visitors and staff of the club To provide all its services in a way that is fair to everyone To ensure that all members, visitors and staff receive fair and equal treatment. 2 Constituent parts 2.1 This constitution addresses the broad management of the organisation. Different sections for individual sports and activities may be established and such sections may have their own byelaws and guidelines to suit their own operational requirements. Each section of the club shall abide by bye-laws and regulations as required by its national or regional governing body. 2.2 No individual sport or activity section shall have any byelaws or guidelines or introduce or maintain any actions that are in contravention of, or work in opposition to, the constitution of the club. Any bye-law drafted by sections of the Club will be submitted to the General Committee for its approval within 14 days of being drafted. The final decision on whether any byelaw, guideline or action is allowable shall rest with the General Committee of the club. 2.3 In the event of the section ceasing to function, any funds held by the section shall be transferred to the Morley Cricket and Sports Club for the benefit of sports development. 3 Membership This section defines the membership categories, the applications process, the introduction of visitors and guests to the premises and the disciplinary procedure. 3.1 Membership categories Membership of the club will include four categories: Sport playing member Social member Junior playing member Life member 3.2 A sport playing member shall include any person over the age of 18 years that is registered to play any of the sports associated with club. A social member will include any person over the age of 18 years that wishes to participate in any activities of the club other than playing sport. A junior playing member will include any person under the age of 18 years that is registered to play any of the sports associated with club. A life member is a person that has attained the age of 65 years of age and been a bona-fide paid-up member of the club for 25 years or more. Life membership shall be instigated by the member writing to the club to claim entitlement of the status and subject to approval by the General Committee. All membership categories, except junior playing members, shall be required to pay a membership fee that will be determined by the General Committee and verified by the members in general meeting. 4 Applications for membership Existing members and potential new members will be required to complete an appropriate application form. New sport playing members will be proposed for membership by their respective team managers or other representatives of the sporting sections of the club. New social members will be proposed and seconded by existing members of the club who have been fully paid up members for at least 12 months prior to the proposal. Applications for life membership will be made to, and considered by, the General Committee. Any new applications for social membership will be displayed on the club notice-board for a period of 10 working days, during which time any existing member who wishes to object must do so in writing to the Secretary. 5 Visitors and guests 5.1 Any member of the club shall be entitled to introduce friends as visitors to the club from time-to-time. A register of visitors to the club shall be maintained and no one visitor shall be allowed to be introduced to the club on more than 6 times in any one calendar year. Any visitors to the club will be bound by the same rules and codes of conduct which may apply to the member introducing the visitor. In the event of any misconduct, the member introducing the guest may be called before the General Committee and subject to any sanctions the Committee feels appropriate. 6 Disciplinary actions 6.1 Any individual sport playing membership can be cancelled by the appropriate section in the event of the member acting in a manner deemed to be unsuitable or bringing the name of the Club or the sport into disrepute. 6.2 Any individual social or life membership can be cancelled by the General Committee in the event of the member acting in a manner deemed to be unsuitable or bringing the name of the Club into disrepute. 6.3 Where the unsuitable action is raised by a complaint by another member, the complaint must be in writing and shall be considered by the General Committee or a sub-group within 14 days of receipt of the complaint. The member alleged to have carried out the unsuitable behaviour will be allowed to address the General Committee or a sub-group to explain his/her actions. Any member wishing to address the General Committee or a sub-group in these circumstances will be entitled to be accompanied by another club member who may also address the Committee. 6.4 The General Committee shall also have the option of a short-term suspension of membership rights where the unsuitable behaviour does not, in the opinion of the General Committee, warrant full cancellation of the membership. In the event of any cancellation or suspension of membership rights, no subscriptions will be repayable to the member. 7 Subscriptions 7.1 The full subscription for each category of membership, excluding junior playing members, shall be proposed by the General Committee and approved at the AGM. Any increase in subscriptions shall become payable immediately after the AGM. Subscriptions for any member previously registered as a spouse or partner will be 5 in 2011 and will be increased by 1 per year until it reaches parity with the full subscription rate. During this period, anyone previously registered as a spouse or partner will enjoy full membership benefits. On payment of the appropriate subscription fee, membership will run for a period of twelve months. 7.2 To maintain continuity of membership, subscriptions must be paid in advance of the membership expiry date. Any member paying subscriptions more than 21 days after the expiry date will be required to pay a 5 administration charge in addition to the appropriate membership fee. 7.3 Details of all Club members and their membership expiry dates will be displayed on the Clubs premises. 7.4 The membership register will be suspended on the date when the notice of a general meeting is called or on the date an EGM is requested by members, whichever is the sooner. 8 General Committee 8.1 The day-to-day running of the club will be vested in a General Committee. The General Committee shall consist of no fewer than 4 and no more than 10 members, all of whom should have been members of the Club for at least 12 months before their election to the Committee. 8.2 Any member wishing to be considered for nomination for the General Committee should apply in writing to The Secretary. The General Committee has the right to co-opt additional Committee members at any time although the appointed member appointed must be submitted for election by the members at the next annual general meeting. 8.3 One-third of the General Committee members, excluding the President, Secretary and Treasurer, will resign each year and, where appropriate, offer themselves for re-election. The figure of one-third shall include any committee members co-opted since the previous annual general meeting and will be rounded-up to the nearest whole number. The committee members offering themselves for re-election must be those who served the longest since re-election. Where any equal period of time applies to two or more committee members, the individual offering themselves for re-election can be arrived at by agreement or the drawing of lots where no agreement can be reached. 8.4 The General Committee has the authority to: appoint additional members to the committee in order to fulfil specific roles and duties commission, recruit and employ appropriate personnel to fulfil any role or duty it feels will benefit the club enter into transactions, licences, agreements and contract as it sees fit to enable the club to meet its objectives carry-out any activities or commission any activities to ensure that the health and safety of members, visitors and staff of the Club are protected negotiate any financial arrangements with reputable financial/institutions for the development and maintenance of the club s activities act with full power and authority in the event of any emergency situation that is not covered by this constitution or other practices and procedures of the club 9 President, Secretary and Treasurer 9.1 Individuals to fulfil the role and duties of President, Secretary and Treasurer of the Club will be elected at the annual general meeting. Nominations for these three roles will be proposed and seconded by Club members who have been members for at least 12 months and will be displayed on the Club notice board at least 7 days prior to the date of the annual general meeting. 9.2 Votes for individuals to hold these positions will be decided on a show of hands or on a poll held in accordance with this constitution. 10 Trustees 10.1 Up to four trustees will be appointed to oversee the activities of the club, its officers and the general committee. Where necessary, it will act as an appeals committee to deal with issues where members consider actions of the general committee have been inappropriate. 10.2 The four trustees will be invited to take up this role by the General Committee at any time during the year. Up to one-third of the trustees will be subject to re-election at the annual general meeting. The trustees eligible to stand for re-election must be the individuals who have served longest since being re-elected by the members or in the case of the same period being served by more than one Trustee, the individual selected by the drawing of lots. 10.3 The Trustees may serve on the General Committee if they so wish but must recognise the potential need to serve at any subsequent appeals hearing. 10.4 The Trustees will make recommendations to the General Committee on how any action that should be taken to remedy the appeal. These recommendations will not be binding upon the General Committee or the member making the appeal. 11 General meetings 11.1 Only fully paid-up members of the Club at the time of a general meeting being called will be entitled to attend, speak and vote at the meeting. 11.2 A notice of any general meeting of the club membership will be posted in the clubhouse giving notice of 14 clear days of the meeting. The notice shall provide details of the location and start time of the meeting and the agenda. Any supporting papers will be provided at the meeting. A quorum of 10 club members will be required at any general meeting. 11.3 A notice for any Extraordinary General Meeting will be posted in the clubhouse giving notice of 14 clear days of the meeting. Extraordinary general meetings may be called by the General Committee or, in writing, by a minimum of fifteen club members. Requests for an extraordinary general meeting by club members shall be made in writing to the Secretary of the club, stating the resolutions to be tabled at the meeting. Any extraordinary general meeting called by the members shall be arranged within 21 days of the request being received by the Secretary. A quorum of 25 club members will be required at any extraordinary general meeting. 12 Voting at general meetings 12.1 Decisions at any general meeting, with the exception of Clause 16 of this constitution, will be voted upon by a show of hands on the basis of a simple majority. Requests for a poll on any resolution placed before the members at a general meeting can be made at any time between the resolution being proposed and the result being announced. Decisions taken by a poll of votes will be based on a simple majority of the votes cast. 12.2 No alteration to this constitution of the club shall be made unless agreed by a majority in a general or an extraordinary general meeting called in accordance with this constitution. 13 Accounts 13.1 The General Committee shall arrange for the suitable monitoring of the finances and accounts of the club. The annual accounting period will end each year on 31st October. Details of the routine opening hours will be displayed in the clubhouse. Opening hours may be extended at seen fit by the General Committee to enable hospitality to be extended to officials, players and supporters of any competing sides or to promote any sporting event. The club reserves the right not to enforce members and visitor requirements on the day of any sporting event. 16 Dissolution 16.1 A resolution to dissolve the club can only be passed at an EGM. In the event of dissolution of the club, all statutory and members rights will be met from remaining funds and any outstanding grants will be repaid pro-rata to the funding body. Any resolution to dissolve the Club must be approved by at least 75% of the votes of the membership attending the meeting at which the resolution is proposed.
