ࡱ> ac`g ?bjbjVV 5kr<r<7....lD.-Q-S-S-S-S-S-S-$/p2\w-w--Q-Q-*E, GH[*=--0-*\220E,2E,w-w--2 : SUDBURY RUGBY UNION FOOTBALL CLUB RULES AGM 2011 1 The Club shall be called THE SUDBURY RUGBY UNION FOOTBALL CLUB- and shall play under the laws of the Rugby Football Union. 2. The Club shall be affiliated to the Rugby Football Union and the Eastern Counties Rugby Union and the Suffolk Rugby Union. 3. (a) The Main purposes of the club are to promote the amateur sport of Rugby Football in and around Sudbury and Great Cornard and community participation in the same The secondary purpose shall be the promotion of social activities amongst members and supporters of the club. 4. The Headquarters of the Club shall be at the Club ground at Whittome Field, Spicer Way, Great Cornard, Sudbury CO10 0GB or such other place as the Management committee may decide. 5. The playing colours of the Club main strip shall be a navy blue jersey with a wide white hoop. Navy Blue shorts and navy and white hooped stockings . Alternative reserve strip being a maroon jersey with a wide navy hoop. Navy blue shorts and navy and maroon hooped stockings. Members will be required to wear the Club colours on all occasions when playing for the club. 6. The Annual General Meeting shall be held by the end of July in each year. 7. The Honorary General Secretary shall at least fourteen clear days before the date of the Annual General Meeting or any other General Meeting post or deliver or transmit by electronic mail to each member notice thereof and of the business to be brought forward thereat. At the Clubs Annual General Meeting or General Meeting vice presidents, playing, life and honorary life members shall have one vote each. All other categories of membership are not eligible to vote. 8. At the Annual general meeting there shall be elected:- (a) The Officers of the Club who shall be: The President, The Chairman, The Honorary General Secretary, The Honorary Treasurer, Club Captain, Forward Development Chairman and Youth Chairman. (b) The Senior Men's Team Captains excepting the 1st XV. (c) The Fixture Secretary, the Membership Secretary, Chairman of the Playing Committee, Ladies Representative, Sponsorship / Fund Raising Chairman and Press Officer. Each member so elected shall perform his duties in accordance with the system of management provided by the Management Committee. 9. The Management of the Club shall be carried out by a Management Committee consisting of:-(a)The President, The Chairman, The Honorary Secretary, The Honorary Treasurer, The Youth Manager, Club Captain, Forward Development Chairman, a nominated representative of the Trustees, Ladies' Representative, Sponsorship and Fund Raising Chairman, Press Officer, the Captains of' all Senior Men's Teams and the Mini Rugby Organizer the Membership Secretary the Fixture Secretary The quorum of the Management Committee shall be six to include the Chairman or the President. (b) The Chairman of the Social Committee may co-opt any number of members of the Club to form a subcommittee the names of whom shall be ratified by the Management Committee at its first meeting after the A.G.M. and shall then be posted on the Notice Board in the Club House. (c) The ladies of the Club shall form a Ladies' Committee and nominate a lady Chairman who shall report to the management Committee. (d) The Management Committee shall have the power to elect other Sub-Committees and co-opt other members as and when required. and shall appoint or co-opt a Suffolk Representative to liaise between Suffolk Rugby Union and the Club. 10. The Accounts of the Club for the year up to the 31st May just preceding the A.G.M shall be available for each member prior to the AG.M. and shall be presented for approval at the meeting, such accounts to comply with the Rugby Football Union's current rules and regulations. 11Membership:- (a) Membership of the Club shall be open to anyone interested in the sport on application regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs. However, limitation of membership according to available facilities is allowable on a non- discriminatory basis. (b) The Club may have different classes of membership and subscription on a non- discriminatory and fair basis. N.B. All Gym and Non Playing Social applications are for associated membership only The Club will keep subscriptions at levels that will not pose a significant obstacle to people participating. (c) The Club Committee may refuse membership, or remove it, only for good cause such as conduct or character likely to bring the Club or sport into disrepute. Appeal against refusal or removal may be made to the members. (d) A candidate for membership of the Club shall send to the Membership Secretary a completed membership form which shall be prominently displayed in the Clubhouse for at least two days before the election takes place. Persons who are candidates for Membership have no privileges whatsoever in relation to the use of the club or its facilities. 12. Election of candidates to membership shall take place at a meeting of the Management Committee. Candidates shall be elected by a simple majority. 13. Subscriptions: The subscription year shall be 1st June to 31st May. This to coincide with the Clubs Financial year. The latest date for the payment of subscriptions shall be 30th September. Members who wish to pay by DD/SO (certain categorys only see application form) will do so and commit to pay for a minimum of 12 (twelve) months Any playing member, ladies member or gymnasium associate member failing to pay his or her subscription or give a donation under Deed of Covenant to the equivalent value by 30th September or within one month of his being elected new member, shall be liable to pay an increased subscription of 10 in addition to the normal subscription, except that:- A new member joining the Club late in the season may, at the discretion of the Chairman and Membership Secretary, be allowed to pay a reduced subscription. Any member due to illness, injury or other circumstance may, at the discretion of the Chairman and Membership Secretary, be allowed to pay a reduced subscription Any member refusing to pay his or her subscription shall be liable to be suspended but shall not by reason of such suspension cease to be liable for the arrears and shall be eligible for re-instatement on payment of the arrears. No member having received notice of his or her suspension shall in any circumstances play for the Club until he or she shall have received notice of re-instatement in accordance with this rule. Guest players shall be permitted to play, for the club on payment of a fee, determined by the Management Committee for a maximum of 3 ( three) games only after which a full annual subscriptions shall be due. Senior Players can themselves solicit a sponsor by use of the application form available from the Club Manager. Sponsored players only become such after:- Their Sponsor Application Form together with their Membership Application Form is completed. The invoice submitted to the sponsor has been paid in full to the club. Until such time the player is subject to normal rules of membership any payments being eligible for refund upon sponsors payment. (The draw will also not be instigated for the sponsor until payment has been received by the club) (e) Student subscriptions are only applicable to those membership applications who play senior rugby and are in Full Time Education (proof required) i.e. where the age of the applicant is 18+ for the current season. This concession will be the current Youth Subscription Rate. (f) Applicants and past season playing members who have not paid their current season subscriptions force themselves into a position of being unavailable for selection. 14. The purchase for the Club and the supply by the Club of intoxicating liquor shall be exclusively controlled by the Committee. (a)No person shall directly or indirectly receive any personal profit or benefit in respect of any purchase or sale of any such liquors but only the general funds of the Club shall benefit there from. (b) Sales of such liquors may be made at such time as the said Management Committee shall decide and in default of any decision at any time provided that no such sales shall be made in breach of any enactment or bye-law for the time being in force. (c) Members of the said committee shall be (1) members of the club (2) have attained the age of 18 years and (3) are elected by the members of the club 15. No person under the age of eighteen years shall be served with or permitted to consume intoxicating liquor on the Club premises. 16. Any Vice- President or member shall be entitled to introduce any guest or guests to the club premises (unless the said Management Committee shall bar any member from exercising such privilege on such conditions and by reference to such time limit as they shall think fit) and in that case such guests may be purchased such liquors and may themselves purchase such liquors. Any such guest may only exercise such rights for the day on which he is introduced as above. 17. The selection of teams shall be entrusted to a Committee to be known as the Playing Committee and shall consist of the Playing Committee Chairman as Chairman, the Club Captain, the Club Coach, the Team Captains or their deputies, the Youth Manager, the Fixtures Secretary and non-playing selectors as co-opted by the Club Captain. This Committee shall be responsible for the advice to the Management Committee on all matters of training, fixtures, playing policy and playing members subscription arrears. NB see Rule 13 (f) Applicants and past season playing members who have not paid their current season subscriptions force themselves into a position of being unavailable for selection. 18. The Management Committee has power to expel any member from the Club only for good cause as such conduct likely to bring the Club or sport into disrepute. 19 The Management Committee has power to make regulations and bye-laws in accordance with these rules and to settle any disputes arising therefrom. 20 Property and Funds (a) The property and funds of the Club cannot be used for the direct or indirect private benefit of members other than as reasonably allowed by the Rules and all surplus income or profits are reinvested in or for the benefit of the club. (b) The Club may provide sporting and related social facilities, sporting equipment, coaching, courses, insurance cover, medical treatment, away-match expenses, post match refreshments and other ordinary benefits of Community Amateur Sports Clubs as provided for in the Finance Act 2002. (c)The Club may also in connection with the sports purposes of the Club: (i) sell and supply food, drink and related sports clothing and equipment; (ii) Employ members (though not for playing) and remunerate them for providing goods and services, on fair terms set by the Committee without the person concerned being present; (iii) Pay for reasonable hospitality for visiting teams and guests; (iv) Indemnify the Committee and members acting properly in the course of the running of the Club against any liability incurred in the proper running of the Club (but only to the extent of its assets). (d) The Committee will have due regard to the law on disability discrimination and child protection. (e) The Club's Trustees of the Club shall hold all land, premises and other capital assets for the benefit of the Club, with discretion to invest the capital with a1l the powers of a beneficial owner and to pay the income from such investment as the Management Committee may from time to time direct:- (i) Provided that in the exercise of their duties the Club's Trustees act in accordance with the direction of the Management Committee, the Club's Trustees shall be entitled to a full indemnity from the membership of the Club. (ii) This Rule may only be amended by a majority of 75% of the Current Club Total Voting Membership. 21. The Management Committee has power to make regulations and bye--laws in accordance with these Rules and to settle any disputes arising therefrom. 22. Winding Up (a) The members may vote to wind up the Club if not less than three quarters of those present and voting support that proposal at a properly convened general meeting. (b) The Committee will then be responsible for the orderly winding up of the Club's affairs. (c) After settling all liabilities of the Club, the Committee shall dispose of the net assets remaining to one or more of the following: (i) To another Club with similar sports purposes which is a registered Charity and/or (ii) To another Club with similar sports purposes which is a registered CASC and/or (iii) To the Club's governing body for use by them for related community sports. 23. Alterations to the Rules shall only be made at the Annual General Meeting or General Meeting. Proposed alterations shall be submitted in writing to the Honorary' General Secretary not less than twenty-one days prior to the data of such Meeting. 24. If at any time the Members of the Club in General Meeting pass a resolution authorizing the Management Committee to borrow money the Committee shall thereupon be empowered to borrow for the purposes of the Club such amounts of money either at one time or from time to time and at such rate of interest and in such form and manner and upon such security as shall be specified in such resolutions. 25. The Management Committee shall have power to deal with anything not provided for in these rules. 26. Priority Where there is any conflict between any of Rules 3a,11a,11b&11c,20a,20b,20c,20d,22 and 26 ("Key Rules") and any other rule or rules the Key Rule(s) will take priority. Interpretation of all the Rules must be consistent with the statutory requirements for CASCs (which means Community Amateur Sports Clubs as first provided for by the Finance Act.
