During the summer there have been some changes in personnel. This in itself will change the way the club do business in the future. It is therefore important for everybody to familiarise themselves with the content of this information pack. While some of it will be familiar, it will be interspersed with new and different information. So what are the changes? I would also like to thank those members of the Committee and Team Management, who for personal reasons have decided to stand down. These are Sam Kemp, Paul Cummings, John Williams, Simon McGeough, Ray Sievey and Neil Linter Thank you all for your contribution. As for the new Committee and Team Managers, I would like to take this opportunity to welcome new members and to thank those who are continuing to serve, you effort will be greatly appreciated by myself and the rest of the club. Its an old clich, but without the Committee and Team Managers the club would not continue. Please do not take their contribution for granted, I know from past experience that any offer of help is always welcome. Whether it is help to organise a function, commit to assist the Manager on match days or support a fund raising activity, every little bit helps. As in previous seasons we have charged all players a Registration Fee. This will be the same for this season. The Registration Fee for the season will be 75 The Registration Fee for Students, Unemployed and Vets will be 37 The registration fee must be paid by the 30th September 2010. See Note below Payment is by cash or cheque (payable to West Wickham FC Seniors) The fee can be paid to any of the following: Team Managers Chairman Paul Simmonds Club Secretary Mark Pettyfer Any player, who for personal reasons, is unable to pay the registration fee they should contact Paul or Mark to discuss the matter. In registering for the club a player automatically agrees to abide by the Player Disciplinary Code and Player Code of Conduct and the Equality Policy as laid out in Sections 4, 5 & 8 Note: There has been a considerable amount of discussion about the collection of the Player Registration Fee, particularly after last season, where it was still being collected in March. It is appreciated by the club that for players to pay & the club to collect 75 (37) by the 30th Sep 10, is not an easy task, and an alternative method was required. It has therefore been decided, as an alternative to the single payment, to allow players to pay the Registration Fee in three instalments over three calendar months. Players who pay 75 must pay three payments of 25 by the following dates. 30th September 2010 31st October 2010 30th November 2010 Players paying 37 must pay two payments of 12 and one of 13 by the following dates 30th September 2010 31st October 2010 30th November 2010 It is expected that every player will have made a payment of either the full 75 (37) or the first instalment by the 30th September 2010. Those paying by instalment will then make their second and third payments by the required dates. The club will look unfavourably on those players who do not pay by the required dates. Match Fees In conjunction with the Registration Fee, the Match Fee is the other main source of income. Without the two combined, the club would not raise enough income to meet the expenses for the season. It is therefore vital that players pay the match fee on a weekly basis to the team manager. As last season the Match Fee will be 10 per game for all league and cup games For Students and Unemployed the Match fee will be 5 Any player, who for personal reasons, is unable to pay the match fee they should talk to their team manager or Paul or Mark to discuss the matter Match fees for all pre-season games will be 5. Note:- Any player who is sent from the field of play will pay a full match fee, irrespective of when they are dismissed during the game Substitute Match Fees One area that always causes controversy is that of Match Fees for substitutes. For this season it has been decided to try a new approach. For all games (except pre-season friendlys) a pro rata system will be used. The 10 match fee will be split between the player coming off and the player going on. So for example: A substitution is made at half time. Both players will pay 5 each A player is substituted after 65 minutes. The player off would pay 7 the player on would pay 3 The actual amount collected will be at the discretion of the team manager For pre-season friendly games every player will pay 5, as every player should play in the game. Double Headers If a team is involved in a double header, then full match fees will be payable for both games. Agreed at the February 2010 Committee Meeting Cup Finals Any team that participates in an AFA, SAL or Kent Cup Final, the players for that game only will be exempt from a match fee. SAL Player Registration As last season the club will be required to register all of its players with the SAL. As a minimum we will be required to add player names and date of birth. There is talk of an address, but that has not been decided as yet. This requirement is as a result of an FA directive to all affiliated leagues, who are required to implement this process. As the SAL is affiliated through to the FA and we are members of the SAL, we have to comply. The Managers will be asking any new players for their date of birth, so we can keep the registration process accurate Only players over the age of 16 will be eligible to register and play for WWFC TRAINING FACILITIES Training is under the direction of Keith DUrso and Tony Middleton and takes place on Tuesday and Thursday at 7.30pm to 9pm under floodlights at the club ground. Please arrive no later than 7.15pm and bring both football boots and trainers for road running. Training on Tuesday is for ALL club players from the first team to the sixth team and everybody is welcome. Thursdays will be more team specific. During the season the location and even cancellation of training may arise due to the ground conditions under the floodlights area. In this situation every endeavour will be made to inform all players. The this season the club has managed to hire the use of Ravensbourne where we have half an astro turf pitch, under very good lighting on a Tuesday evening from 8pm to 9.30pm. This will be from the 14th September and runs to mid April. PLAYER SELECTION POLICY FOR LEAGUE & CUP MATCHES The following is the current selection policy. Teams are selected by the Selection Committee consisting of the 6 team Managers and the Club Chairman if he wishes to attend. The Chairman of the Selectors is Keith DUrso. Our objective is to provide as many games of football for each playing member throughout the season. Team Managers will normally canvas players after each game, to see who is or is not available for the following week. Selection normally takes place after Training on a Tuesday evening (we also train on Thursday 7.30pm for both days) and players are (normally) informed of the team that they are selected for on the Wednesday obviously the teams change prior to Saturdays games due to unforeseen circumstances or injury. Any Manager unable to attend a selection meeting must send a delegate representative. Non attendance may result in unnecessary complications. This season the club has added a 7th Team, however, for this season they are not included in the selection policy, as they will only be playing periodic friendlys during the season. In order select the strongest sides and to eliminate mistakes we have issued below the selection policy which will help players understand how the committee operates. We recognise that some errors will occur in selection during the season as we are dealing with almost 100 players but with your help we can minimise mistakes. The Chairman of the Selectors, Keith DUrso, he is prepared to discuss any personal matters involving selection. Players are selected for individual sides based on picking the best available players for the First Team and the next best for the Reserves this policy filters down through the sides down to the Sixth Team. Naturally team captains have an input into the make up of individual sides via discussion with the Team Manager. New players may take time to find their realistic level so there will be unavoidable movement between teams in the first few months. Players are expected to confirm that they have received notification of their weekly selection --- you can phone, text or email. Should a players availability change prior to the Saturday game he must inform his Manager immediately so that alternative arrangements can be made. It is the responsibility of each player to inform Managers or the Chairman of Selectors of non availability dates in the future weeks and any last minute changes (ie injury, family affairs etc). Players are expected to play for the team that they are selected for any player refusing to play in the selected team may find they will not play for any team that week and will not be guaranteed automatic selection the following week this will depend on the general availability level. Players missing a week(s) for any reason should not automatically expect to return to their current side as selection will depend on total availability for the week in question. Players being dropped after a reasonable run in a team will be contacted by the team Manager to explain the reasoning behind the decision. Wherever possible we will try to maintain a high level of stability in the various squads but movement is inevitable due to holidays, Stag nights, illness and loss or improvement in form. Any Manager who requires a replacement following a drop out after Tuesdays selection meeting will inform and discuss the substitute player with the relevant Manager before informing the player. PLAYER DISCIPLINARY CODE The Southern Amateur Leagues prides itself on providing fair but competitive football. The success of the league is built on this, which is why our club have been a member for many years. We are a major club in this league, both in success and reputation, and it is our collective responsibility to maintain remain competitive on the pitch, but friendly and social in the bar. Player Discipline Red Cards It would be unrealistic to expect the club to go the whole season without some players falling foul of the referee (or assistant) and his interpretation of the laws of the game. What is realistic is that NO players from West Wickham FC fall foul of the referee for any of the following offences:- violent conduct spitting at an opponent or any other person using offensive, insulting or abusive language and/or gestures Any player receiving a straight red card while representing WWFC will have the option of taking an immediate one match ban (the next game) or paying a fine to the club equal to that levied by the AFA. This is irrespective of any appeal made against the red card to the AFA or the subsequent AFA ruling on the matter or the suspension applied by the AFA. Agreed at the February 2010 Committee Meeting. Yellow Cards If a player is cautioned (except for dissent) while representing the club, that player will pay the sum of 10 to the club irrespective of whether the caution is submitted by the referee or not and irrespective of whether the AFA notify the club of the caution or not. The sum paid by the player will cover the AFA fine. Agreed at the March 2010 Committee Meeting. Cautions for Dissent: Any player cautioned for dissent while representing the club will be fined by the club 20 and not the sum stated above. Agreed at the March 2010 Committee Meeting Disciplinary Notifications The control of disciplinary matters, raised by the various leagues, against players of the club or the club is managed by the Club Secretary. Upon receipt of a disciplinary notification:- The player concerned will be notified by email or phone of the details A copy will also be sent to the players team manager The notification will include all details and what action is required by the player The player will have to pay the fine specified in the notification within 10 days of receipt of the email or phone call Failure to pay the fine within the specified period will result in the fine being doubled Other Disciplinary Matters The Committee will have the right to convene a disciplinary hearing, consisting of 4 Committee Members, to deal with any disciplinary matters relating to WWFC as seen fit and to apply appropriate punishments. Note:- Any player who is sent from the field of play will pay a full match fee, irrespective of when they are dismissed during the game PLAYER CODES OF CONDUCT The player code of conduct consists of three parts. All three parts apply to the players, team managers/coaches and club officials of WWFC WWFC Player Code of Conduct All players should respect both the opposition, the match officials, their team mates, club members and spectators and should make all visitors to the club welcome. All players and club members should welcome our Match Officials and ensure that they are fed, watered and paid promptly:- without Referees and Assistant Referees we would not be able to play please dont make their difficult job more difficult by persistent whingeing they will make plenty of mistakes but so will you Assistant referees are normally only available in Cup games making the referees job even more difficult so please be tolerant Bad language at any time is frowned upon and we realise that it cannot be eradicated but personal verbal attacks on any person is unacceptable also remember that ladies and children are often present so instead of saying bollocks say oh dear what bad luck.!!! Players, from time to time, will be asked to play for a team either above or below their normal. This may occur for a number of reasons, such as:- A team does not have the minimum of 11 players A team has more than the required squad number for the type of game A player is returning from injury These situations could result in a player being selected for a different team than normal. If this occurs that player is part of the squad and it is then the managers decision on how that player will be used. Whatever decision is taken, that decision will be with the teams best interest it heart. Please accept that decision in good grace. The manager has a hard enough job. Players should share the pre-match tasks:- erecting and dismantling nets placing corner flags filling water bottles collecting match fees chatting with the officials washing the kit Dont leave everything to the Manager or Captain. Dont be afraid to volunteer --- one volunteer is better than 10 pressed men. All teams playing away from home MUST:- go back to the home teams clubhouse for a meal and a drink with their opponents this is a SAL requirement and is intended to promote the right spirit into the game there are, infrequently, exceptional circumstances and these should be explained to the home side skipper along with apologies if we cannot visit their clubhouse. This should be done prior to the game at the earliest known time. All players should make every effort to keep fit during the season via club training or personal training so that the high playing standards of the club are maintained. All players are responsible for informing their Manager or the Committee of injuries/holidays etc as soon as possible to ensure that selection is as accurate as possible. If you have returned to fitness (or near fitness) after injury you should inform the Selection Committee or come to training on the Tuesday before your next intended game. SAL Player Code of Conduct Players are the most important people in the sport. Playing for the team, and for the team to win, is the most fundamental part of the game. But not winning at any cost Fair Play and respect for all others is fundamentally important. This Code focuses on players involved in top-class football. Nevertheless, the key concepts in the Code are valid for players at all levels Obligations towards the game A player should: Make every effort to develop their own sporting abilities, in terms of skill, technique, tactics and stamina. Give maximum effort and strive for the best possible performance during a game, even if his team is in a position where the desired result has already been achieved. Set a positive example for others, particularly young players and supporters. Avoid all forms of gamesmanship, and time wasting. Always have regard to the best interests of the game, including where publicly expressing an opinion on the game and any particular aspect of it, including others involved in the game. Not use inappropriate language. Obligations towards ones own team A player should: Make every effort consistent with Fair Play and the Laws of the Game to help his team win. Resist any influence, which might, or might be seen to, bring into question his commitment to the team winning. Respect for the Laws of the Game and competition rules A player should: Know and abide by the Laws, rules and spirit of the game, and the competition rules. Accept success and failure, victory and defeat, equally. Resist any temptation to take banned substances or use banned techniques. Respect towards Opponents A player should: Treat opponents with due respect at all times, irrespective of the result. Safeguard the physical fitness of opponents, avoid violence and rough play, and help injured opponents. Respect towards Match Officials A player should: Accept the decisions of the Match Officials without protest. Avoid words or actions, which may mislead a Match Official. Show due respect towards Match Officials at all times. Respect towards Team Officials A player should: Abide by the instructions of his Coach and Team Officials, provided they do not contradict the spirit of this code. Show due respect towards Team Officials of the opposition. Obligations towards the Supporters A player should show due respect to the interests of supporters. FA Respect Code of Conduct for Adult Players We all have a responsibility to promote high standards of behaviour in the game. Players tell us they want a referee for every match, yet 7,000 match officials drop out each season because of the abuse and intimidation they receive on and off the pitch. Respect your referee today and you may just get one for every match this season. Play your part and observe The FA's Respect Code of Conduct for players at all times. On and off the field, I will: Adhere to the Laws of the Game Display and promote high standards of behaviour Promote fair play and behave within the spirit of the Laws of the Game Always respect the match officials' decisions Never engage in public criticism of the match officials Never engage in offensive, insulting or abusive language or behaviour Avoid bullying, intimidation and poor behaviour Speak to my team-mates, the opposition and my coach/manager with respect Ask my team captain to talk to the referee if I have a problem relating to the game Remember we all make mistakes Shake hands with the opposing team and the match officials at the end of every game I understand that breaches of the code may result in action being taken by my County FA and /or The FA. COACHES, TEAM MANAGERS AND CLUB OFFICIALC CODE OF CONDUCT FA Respect Code of Conduct for Coaches, Team Managers & Club Officials We all have a responsibility to promote high standards of behaviour in the game. In The FA's survey of over 37,000 grassroots participants, behaviour was the biggest concern in the game. This included both the abuse of match officials and the unacceptable behaviour by over competitive parents, spectators and coaches on the sidelines. The FA's Respect programme is aimed at tackling unacceptable behaviour across the whole game. Play your part and observe The FA's Respect Code of Conduct for coaches, team managers and club officials at all times. I will: Show respect to others involved in the game including match officials, opposition players, coaches, managers, officials and spectators Adhere to the Laws of the Game Display and promote high standards of behavior Always respect the match officials' decisions Never enter the field of play without the referee's permission Never engage in public criticism of the match officials Never engage in, or tolerate, offensive, insulting or abusive language or behavior. When working with players, I will: Place the well-being, safety and enjoyment of each player above everything, including winning Explain exactly what I expect of players and what they can expect from me Ensure the parents/carers of all players under the age of 18 understand these expectations Refrain from, and refuse to tolerate any form of bullying Develop mutual trust and respect with every player to build their self-esteem Encourage each player to accept responsibility for their own behavior and performance Ensure all activities I organise are appropriate for the players' ability level, experience, age and maturity Co-operate fully with others in football (e.g. officials, doctors, physiotherapists, welfare officers) for each player's best interests I understand that breaches of the code may result in action being taken by my County FA and /or The FA. SPECTATORS CODE OF CONDUCT FA Respect Code of Conduct for Spectators We all have a responsibility to promote high standards of behaviour in the game. This club is supporting The FA's Respect programme to ensure football can be enjoyed by everyone in a safe and positive environment. Play your part and observe The FA's Respect Code of Conduct for spectators at all times. The process for doing this was not always consistent. Therefore at the Club Committee meeting on the 18th Feb 2010, the matter was discussed and a standard approach was agreed. The following is an extract from the minutes of that meeting Pitch inspections & decisions would take place on Saturdays, between 5 and 3 hours before the SAL designated Kick Off time for the month. For example if the SAL designated Kick Off time was 1400 then the pitch inspection and the decision on whether the pitches were playable would be taken between 0900 and 1100. For those who have been around a few years, you will know that the SAL stipulates, by month, the latest time a game can kick off. This is applies to league and cup games. So the principle stated above will apply to both league and cup games. Should an inspection of the pitches be necessary, then this will be carried out by two senior members of the club. If the decision is taken to cancel any or all of the games, then the following people will be contacted, by PHONE: Team Managers who will contact their players Fixture Secretary who will contact the visiting opposition fixture secretary Referee Secretary who will contact the visiting referees Dave Hoyte Bar and clubhouse Michelle Brown - Catering SOCIAL SCENE Everybody wants to discuss the game and after match inquests, and the lies and banter that go with them, is an essential part of Match Day and we should all try to get back to the clubhouse to discuss the game. The Club is a very successful and our success has been built on team spirit throughout all the six sides. We encourage all players to socialise after the game both with their team mates and the opposition. This way we get to know, and respect, our colleagues and opponents. Strong, vibrant, team spirit is essential to being successful particularly when we are up against it in games that we need to win. So get to know your team mates, come to training, join us in the bar, make yourself known. On Match Day the club now opens at 12.30pm so you can get a soft or hard drink and food is available plus the afternoon Match is on TV. So stay and have a few more beers. In addition to the end of season Presentation Dinner there will be other club events arranged by the Social Secretaries Matt Eagle & Matt King last seasons Poker Night was a big success and they will, no doubt, have some other event up their sleeves. One event does need a mention and that is the Unders/Overs Charity Match held during the Xmas break, in memory of a past player Jimmy Collins . Last season the event supported the Follow The Fire Engine charity appeal which supported the Macmillan Cancer Support, The Fire Fighters Charity and the Roy Castle Lung Cancer Foundation. Through the support of two soccer matches on the 28th Dec 2009 (Under 25 v Over 25s and the Vets v the Juniors) the club raised over 700. Senior Dinner Last seasons Senior Dinner was attended by 80+ people. The event was held on the 7th May. The guest speaker was Alan Cotton. Yes, this season a band of merry old men will be donning their kit again and taking to the pitch on a Saturday afternoons. The team plan to play a few friendlys before Xmas, in preparation for a Vets v Juniors game during the Xmas break. If you take a turn round the park, look out for the silky skill of the vets. Also, in the bar after the games eves drop on some of their tales of glory and woe. CLUB HISTORY The club was founded in 1901 and was registered with the Amateur Football Association in 1931 (AFA). We currently run six teams in the Southern Amateur League and these teams play in various Cup Competitions as well as League football. The main Cup competitions are the AFA Cup, the SAL Cup, the Kent/Surrey Senior and Intermediate Cup and the Kent County Senior and Intermediate Cup. The latter two competitions are restricted to the First team and Reserves but all teams play in the first two cups. The main highlights in terms of performance are: The First team were promoted to Division One in 1963 and remained there until 1999 during this period we won the League on 10 occasions including 5 times from 1986 to 1991 (a feat that has never been matched). After two seasons in Division Two we returned to the top and last season only narrowly failed to win the League finishing one point behind Old Owens who won the title with the last kick of the season (literally). In 2007/8 we won the Senior Division One by a massive 12 points. Amongst the many trophies that the First Team has won is the AFA Senior Cup which we have won four times the last time being in 2006/7 when we hammered Old Hamptonians 4 0. In the same year we won the Kent/Surrey Senior Cup as well and defended it successfully the following year beating Old Salesians 1 0 in the Final. The team also reached the last 64 of the FA VASE on two occasions but we can no longer enter as we dont have floodlights. All the other sides have enjoyed a great deal of success and the Reserves won the First Division of their Section in 1978-79 being unbeaten for the whole season. The Reserves under Paul Jennings won the top division again in 2006/7. Recently they have dominated the Kent /Surrey Cup winning it on numerous occasions. In 2009/10 the reached the final of the Kent /Surrey Intermediate Cup, losing 3-0 to Nottsborough Res The Third Team won their Division in 1990-91 without losing a game they won 17 and drew 5 scoring 78 goals with only 20 against. The current Chairman John Miller and Ronnie Owlett (father of many sons) were stalwarts of that side and the much younger Rob Kienlen and Geoff Airey also played the Manager was none other than Mo Stretton. In 2009/10 they 3rd won promotion from the 2nd division under the leadership of Scott Holmes. The Fourth Team won the SAL Minor Cup in 2001-2 and last season (2005/6) the Fifth Team won promotion into the Second Division South of the Southern Section under Manager Paul Newton. Football in the SAL involves travelling to away games as far as Potters Bar in Herts, with several games in West London in the Ealing area and others in North London towards Edmonton and Winchmore Hill. So early meets are essential on some Saturdays particularly in the winter months when kick off can be as early as 1.30pm and meet times could be 11.30am. So be prepared this means that games will be over by 3.15pm leaving your evenings free to celebrate your goals and count the points whilst having dinner with Angelina Jolie or Mavis from Coronation Street. Name The club shall be called West Wickham (Senior) Football Club (the Club) 2. Objects The objects of the Club shall be to provide facilities, promote the game of Association Football, to arrange matches and social activities for its members and community participation in the same. 3. Status of Rules These rules (the Club Rules) form a binding agreement between each member of the Club. 4. Rules and Regulations (a) The members of the Club shall so exercise their rights, powers and duties and shall, where appropriate use their best endeavours to ensure that others conduct themselves so that the business and affairs of the Club are carried out in accordance with the Rules and Regulations of The Football Association Limited (The FA), County Football Association to which the Club is affiliated (Parent County Association) and Competitions in which the Club participates, for the time being in force. (b) No alteration to the Club Rules shall be effective without prior written approval by the Parent County Association (c) The Club will also abide by Codes of Conduct and the Equal Opportunities and Anti-Discrimination Policy as shall be in place from time to time. 5. Club Membership (a) The members of the Club from time to time shall be those persons listed in the register of members (the Membership Register) which shall be maintained by the Club Secretary. (b) Any person who wishes to be a member must apply on the Membership Application Form and deliver it to the Club. Election to membership shall be at the discretion of the Club Committee and granted in accordance with the anti-discrimination and equality policies which are in place from time to time. An appeal against refusal may be made to the Club Committee in accordance with the Complaints Procedure in force from time to time. Membership shall become effective upon an applicants name being entered in the Membership Register. (c) In the event of a members resignation or expulsion, his or her name shall be removed from the Membership Register. (d) The FA and Parent County Association shall be given access to the Membership Register on demand. 6. Annual Membership Fee (a) An annual fee payable by each member shall be determined from time to time by the Club Committee and set at a level that will not pose a significant obstacle to community participation. Any fee shall be payable on a successful application for membership and annually by each member. Fees shall not be repayable. (b) The Club Committee shall have the authority to levy further subscriptions from the members as are reasonably necessary to fulfil the objects of the Club. 7. Resignation and Expulsion (a) A member shall cease to be a member of the Club if, and from the date on which, he/she gives notice to the Club Committee of his/her resignation. A member whose annual membership fee or further subscription is more than two (2) months in arrears shall be deemed to have resigned. (b) The Club Committee shall have the power to expel a member when, in its opinion, it would not be in the interests of the Club for them to remain a member. An appeal against such a decision may be made to the Club Committee in accordance with the Complaints Procedure in force from time to time. (c) A member who resigns or is expelled shall not be entitled to claim any, or a share of any, of the income and assets of the Club (the Club Property). 8. Club Committee (a) The Club Committee shall consist of the following Club Officers: Chairperson, Treasurer, Secretary, Fixture Secretary and Referees Secretary, Social Secretary, All Team Managers, and up to 5 other members, elected at an Annual General Meeting. (b) Each Club Officer and Club Committee Member shall hold office from the date of appointment until the next Annual General Meeting (AGM) unless otherwise resolved at an Extraordinary General Meeting (EGM). One person may hold no more than two positions of Club Officer at any time. The Club Committee shall be responsible for the management of all the affairs of the Club. Decisions of the Club Committee shall be made by a simple majority of those attending the Club Committee meeting. The Chairperson of the Club Committee meeting shall have a casting vote in the event of a tie. Meetings of the Club Committee shall be chaired by the Chairperson or in their absence the 1st Team Manager . The quorum for the transaction of business of the Club Committee shall be four. (c) Decisions of the Club Committee of meetings shall be entered into the Minute Book of the Club to be maintained by the Club Secretary. (d) Any member of the Club Committee may call a meeting of the Club Committee by giving not less than seven days notice to all members of the Club Committee. The Club Committee shall hold not less than four meetings a year. (e) An outgoing member of the Club Committee may be re-elected. Any vacancy on the Club Committee which arises between Annual General Meetings shall be filled by a member proposed by one and seconded by another of the remaining Club Committee members and approved by a simple majority of the remaining Club Committee members. (f) Save as provided for in the Rules and Regulations of The FA, the Parent County Association and any applicable Competition, the Club Committee shall have the power to decide all questions and disputes arising in respect of any issue concerning the Club Rules. (g) The position of a Club Officer shall be vacated if such person is subject to a decision of The FA that such person be suspended from holding office or from taking part in any football activity relating to the administration or management of a football club. 9. Annual and Extraordinary General Meetings (a)An AGM shall be held in each year to: (i)receive a report of the activities of the Club over the previous year; (ii)receive a report of the Clubs finances over the previous year; (iii)elect the members of the Club Committee; and (iv)consider any other business. (b) Nominations for election of members as Club Officers or as members of the Club Committee shall be made in writing by the proposer and seconder, both of whom must be existing members of the Club, to the Club Secretary not less than 21 days before the AGM. Notice of any resolution to be proposed at the AGM shall be given in writing to the Club Secretary not less than 21 days before the meeting. (c) An EGM may be called at any time by the Club Committee and shall be called within 21 days of the receipt by the Club Secretary of a requisition in writing, signed by not less than five members stating the purposes for which the Meeting is required and the resolutions proposed. Business at an EGM may be any business that may be transacted at an AGM. (d) The Secretary shall send to each member at their last known address written notice of the date of a General Meeting (whether an AGM or an EGM) together with the resolutions to be proposed at least 14 days before the meeting. (e) The quorum for a General Meeting shall be 20. (f) The Chairperson, or in their absence a member selected by the Club Committee, shall take the chair. Each member present shall have one vote and resolutions shall be passed by a simple majority. In the event of an equality of votes the Chairperson of the Meeting shall have a casting vote. (g) The Club Secretary, or in their absence a member of the Club Committee, shall enter Minutes of General Meetings into the Minute Book of the Club. 10. Club Teams At its first meeting following each AGM the Club Committee shall appoint a Club member to be responsible for each of the Clubs football teams. The appointed members shall be responsible for managing the affairs of the team. The appointed members shall present to the Club Committee at its last meeting prior to an AGM a written report of the activities of the team. 11. Club Finances (a) A bank account shall be opened and maintained in the name of the Club (the Club Account). Designated account signatories shall be the Club Chairperson, the Club Secretary, 1st Team Manager and the Treasurer. No sum shall be drawn from the Club Account except by cheque signed by two of the four designated signatories. All monies payable to the Club shall be received by the Treasurer and deposited in the Club Account. (b) The Club Property shall be applied only in furtherance of the objects of the Club. The distribution of profits or proceeds arising from the sale of Club Property to members is prohibited. (c) The Club Committee shall have the power to authorise the payment of remuneration and expenses to any member of the Club (although a Club shall not remunerate a member for playing) and to any other person or persons for services rendered to the Club. (d) The Club may provide sporting and related social facilities, sporting equipment, coaching, courses, insurance cover, medical treatment, away-match expenses, post match refreshments and other ordinary benefits of Community Amateur Sports Clubs as provided for in the Finance Act 2002. (e) The Club may also in connection with the sports purposes of the Club: (i) sell and supply food, drink and related sports clothing and equipment; (ii) employ members (although not for playing) and remunerate them for providing goods and services, on fair terms set by the Club Committee without the person concerned being present; (iii) pay for reasonable hospitality for visiting teams and guests; and (iv) indemnify the Club Committee and members acting properly in the course of the running of the Club against any liability incurred in the proper running of the Club (but only to the extent of its assets). (f) The Club shall keep accounting records for recording the fact and nature of all payments and receipts so as to disclose, with reasonable accuracy, at any time, the financial position, including the assets and liabilities of the Club. The Club must retain its accounting records for a minimum of six years. (g) The Club shall prepare an annual Financial Statement, in such format as shall be available from The FA from time to time. The Financial Statement shall be verified by an independent, appropriately qualified accountant and shall be approved by members at general meeting. A copy of any Financial Statement shall, on demand, be forwarded to The FA. (h) The Club Property, other than the Club Account, shall be vested in not less than two and no more than four custodians, one of whom shall be the Treasurer (the Custodians),who shall deal with the Club Property as directed by decisions of the Club Committee and entry in the Minute Book shall be conclusive evidence of such a decision. (i) The Custodians shall be appointed by the Club in a General Meeting and shall hold office until death or resignation unless removed by a resolution passed at a General Meeting. (j) On their removal or resignation a Custodian shall execute a Conveyance in such form as is published by The FA from time to time to a newly elected Custodian or the existing Custodians as directed by the Club Committee. The Club shall, on request, make a copy of any Conveyance available to The FA. On the death of a Custodian, any Club Property vested in them shall vest automatically in the surviving Custodians. If there is only one surviving Custodian, an EGM shall be convened as soon as possible to appoint another Custodian. (k) The Custodians shall be entitled to an indemnity out of the Club Property for all expenses and other liabilities reasonably incurred by them in carrying out their duties. 12. Dissolution (a) A resolution to dissolve the Club shall only be proposed at a General Meeting and shall be carried by a majority of at least three-quarters of the members present. (b) The dissolution shall take effect from the date of the resolution and the members of the Club Committee shall be responsible for the winding up of the assets and liabilities of the Club. (c) Any surplus assets remaining after the discharge of the debts and liabilities of the Club shall be transferred to another Club, a Competition, the Parent County Association or The FA for use by them for related community sports.
